3. User Obligations and Responsibilities

Accurate Information: You agree to provide accurate, current, and complete information about yourself or your organization when contacting us, requesting services, or subscribing to communications. You are responsible for maintaining and promptly updating any account or contact information to keep it accurate and complete. YTR Connect is not liable for any consequences arising from inaccurate or incomplete information provided by you.

Lawful Use: You agree to use our website and services only for lawful purposes and in accordance with these Terms of Service. You shall not use our website or services in any manner that violates any applicable federal, state, local, or international law or regulation. This includes, but is not limited to, laws governing data privacy, intellectual property, export controls, and electronic communications.

4. Intellectual Property Rights

This section defines the ownership and usage rights for all intellectual property involved in our relationship with you, including content on our website and deliverables produced through our services.

Website Content and Branding: All content on the YTR Connect website at https://www.ytrconnect.lat, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of YTR LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The YTR Connect name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of YTR LLC. You must not use such marks without our prior written permission.

Service Deliverables: Unless otherwise specified in a written Statement of Work, all deliverables produced by YTR Connect in the course of providing services, including system designs, architecture documents, technical specifications, code, diagrams, and documentation, shall be considered works made for hire or shall be assigned to the client upon full payment of all fees due for the relevant engagement. YTR Connect retains ownership of all pre-existing materials, tools, frameworks, methodologies, and know-how used in the creation of deliverables.

License to Pre-Existing Materials: To the extent that any YTR Connect pre-existing intellectual property is incorporated into deliverables, YTR Connect grants the client a perpetual, irrevocable, non-exclusive, non-transferable, royalty-free license to use such pre-existing materials solely as part of and in connection with the deliverables for their intended purpose.

Feedback and Suggestions: If you provide YTR Connect with any feedback, suggestions, ideas, or recommendations regarding our website or services, you hereby grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our products and services without any obligation or compensation to you.

5. Payment Terms and Billing

The financial terms governing our service engagements are set forth in this section. Specific pricing, payment schedules, and expense policies for individual projects shall be defined in the applicable Statement of Work or Service Agreement.

Fees and Payment Schedule: Service fees for YTR Connect engagements are typically structured as fixed-price project fees, time-and-materials billing at agreed hourly rates, or retainer-based monthly fees. The fee structure for each engagement will be specified in the Statement of Work. Unless otherwise agreed, invoices are issued on a bi-weekly or monthly basis and are payable within thirty (30) calendar days of the invoice date.

Expenses: Reasonable out-of-pocket expenses incurred by YTR Connect in the performance of services, including travel, accommodation, software licensing, cloud infrastructure costs, and third-party vendor fees, shall be billed to the client at cost or as otherwise specified in the Statement of Work. YTR Connect will seek advance approval for any single expense exceeding five hundred United States dollars ($500.00).

Late Payments: Invoices not paid within the specified payment period may accrue interest at the rate of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, whichever is lower. YTR Connect reserves the right to suspend services if payment is more than thirty (30) days past due, provided we have given you at least ten (10) days written notice of our intent to suspend.

Taxes: All fees are exclusive of applicable taxes, levies, duties, or similar governmental assessments. You are responsible for paying all sales, use, value-added, withholding, or other taxes associated with the services, excluding taxes based on YTR LLC net income. If YTR Connect is required to pay any such taxes, you shall reimburse us for those amounts.

Disputed Charges: If you believe an invoice contains an error, you must notify us in writing within fifteen (15) calendar days of the invoice date, specifying the nature and amount of the disputed charge. Undisputed portions of the invoice shall be paid when due. We will work with you in good faith to resolve any billing disputes promptly.

6. Limitation of Liability

This section defines the limits of YTR Connect's financial responsibility in connection with our services. These limitations are a fundamental part of the bargain between the parties and reflect the allocation of risk agreed upon.

General Limitation: To the fullest extent permitted by applicable law, YTR LLC, its officers, directors, employees, agents, and subcontractors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, use, data, or other intangible losses, arising out of or related to your use of or inability to use our website or services, regardless of the legal theory upon which any claim is based, even if YTR Connect has been advised of the possibility of such damages.

Aggregate Liability Cap: Except for liabilities that cannot be limited by law, the total aggregate liability of YTR LLC for any and all claims arising out of or relating to these Terms of Service or any services provided shall not exceed the total fees paid by you to YTR Connect during the twelve (12) month period immediately preceding the event giving rise to the claim. For claims arising before any fees have been paid, the aggregate liability shall not exceed one thousand United States dollars ($1,000.00).

Exceptions: The limitations set forth in this section shall not apply to damages arising from YTR Connect gross negligence, willful misconduct, fraud, or infringement of your intellectual property rights, to the extent such limitation is prohibited by applicable law. Nothing in these Terms of Service excludes or limits liability for death or personal injury caused by negligence, or for any other liability that cannot be excluded or limited by law.

7. Disclaimer of Warranties

YTR Connect provides its website and services on an as-is and as-available basis. This section clarifies the scope of our warranties and disclaims warranties that are not explicitly provided.

Website Disclaimer: Your use of the YTR Connect website at https://www.ytrconnect.lat is at your sole risk. The website is provided without warranties of any kind, whether express or implied. YTR Connect does not warrant that the website will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components. This warranty is valid for a period of ninety (90) days following completion of the applicable services. Your sole and exclusive remedy for breach of this warranty shall be, at YTR Connect option, reperformance of the non-conforming services or refund of the fees paid for the non-conforming portion of the services.

General Disclaimers: To the maximum extent permitted by applicable law, YTR Connect expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade. No advice or information, whether oral or written, obtained from YTR Connect or through our website shall create any warranty not expressly stated in these Terms of Service.

8. Indemnification

You agree to defend, indemnify, and hold harmless YTR LLC, its affiliates, and their respective directors, officers, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys fees and court costs, arising out of or related to:

Your use of, or inability to use, the YTR Connect website or services; your violation of any term of these Terms of Service; your violation of any applicable law, rule, or regulation; your violation of any third-party right, including any intellectual property right, publicity right, confidentiality right, property right, or privacy right; any dispute or issue between you and any third party; or any claim that your content, data, systems, or materials caused damage to a third party.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses. You shall not settle any claim subject to indemnification without YTR Connect prior written consent. This indemnification obligation shall survive the termination of these Terms of Service and your use of our website and services.

9. Termination of Services

This section describes the circumstances under which these Terms of Service and any ongoing service engagements may be terminated, and the consequences of such termination.

Termination by You: You may terminate these Terms of Service at any time by discontinuing use of our website and services and notifying us in writing. For active service engagements governed by a Statement of Work, termination provisions specified in that Statement of Work shall apply, including any requirements for notice periods, payment for work performed through the termination date, and wind-down activities.

Termination by YTR Connect: We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms of Service. For active service engagements, we may terminate upon thirty (30) days written notice if you fail to cure a material breach within such notice period, or immediately if you become insolvent, file for bankruptcy, or cease business operations.

Effect of Termination: Upon termination, your right to access and use our website and services shall immediately cease. You shall immediately pay all outstanding fees and expenses due through the termination date. Provisions of these Terms of Service that by their nature should survive termination shall survive, including provisions relating to intellectual property, limitation of liability, disclaimer of warranties, indemnification, governing law, and dispute resolution. We shall not be liable to you or any third party for any termination of your access to the website or services.

10. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods.

Except for disputes that qualify for small claims court or are subject to mandatory arbitration as described in the Dispute Resolution section below, you and YTR Connect agree to submit to the exclusive personal jurisdiction and venue of the state and federal courts located in Davis County, Utah, for any legal proceedings arising from or related to these Terms of Service. You waive any objection to such jurisdiction or venue based on forum non conveniens or any other grounds.

Notwithstanding the foregoing, YTR Connect may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or other proprietary interests. Any cause of action you may have with respect to our website or services must be commenced within one (1) year after the claim or cause of action arises.

11. Dispute Resolution

YTR Connect is committed to resolving disputes fairly and efficiently. This section outlines the procedures for resolving any disputes that may arise between you and YTR Connect.

Informal Resolution: Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at mail@ytrconnect.lat or by mail at 1083 W 25 S, Clearfield, Utah 84015-8701, United States. You must include your name, a description of the dispute, the relief you are seeking, and your contact information. We will attempt to resolve the dispute through good-faith negotiations within sixty (60) days of receiving your notice.

Mediation: If the dispute cannot be resolved through informal negotiation, either party may request mediation. The mediation shall be conducted in Davis County, Utah, by a mediator mutually agreed upon by the parties. Each party shall bear its own costs of mediation, and the parties shall share equally the fees and expenses of the mediator. Mediation is a prerequisite to filing any lawsuit or arbitration demand, except for claims seeking injunctive relief.

Arbitration Option: For disputes involving amounts less than twenty-five thousand United States dollars ($25,000.00), either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Davis County, Utah, by a single arbitrator. The arbitrators decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against YTR Connect. If any court or arbitrator determines that this class action waiver is void or unenforceable, the dispute resolution provisions shall be severed from these Terms of Service, but the remainder of these terms shall remain in full force and effect.

12. Changes to Terms

YTR Connect reserves the right to modify or replace these Terms of Service at any time at our sole discretion. When we make material changes, we will update the Effective Date at the top of this page and post the revised terms on our website at https://www.ytrconnect.lat. We encourage you to review these Terms of Service periodically.

Changes to these Terms of Service become effective immediately upon posting unless a different effective date is specified. Entire Agreement: These Terms of Service, together with any applicable Statement of Work, Privacy Policy, and any other agreements expressly incorporated by reference, constitute the entire agreement between you and YTR Connect concerning the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

Severability: If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to reflect the parties original intent as closely as possible, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

Waiver: The failure of YTR Connect to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

Assignment: You may not assign or transfer these Terms of Service, or any rights or obligations hereunder, without the prior written consent of YTR Connect. YTR Connect may assign or transfer these Terms of Service without restriction. Any attempted assignment in violation of this provision shall be void. These Terms of Service shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

Force Majeure: YTR Connect shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government orders, pandemic, labor disputes, utility failures, Internet disruptions, or failures of third-party service providers.

Notices: All notices to YTR Connect under these Terms of Service shall be sent to mail@ytrconnect.lat or to YTR LLC, 1083 W 25 S, Clearfield, Utah 84015-8701, United States. Notices to you may be sent to the email address or physical address you have provided to us. Notice shall be deemed given 24 hours after email transmission, or three (3) business days after mailing by certified or registered mail.
